By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.</p>\n<p>The Services are operated by Sprocket Digital USA LLC, a Texas limited liability company, operating under the trade names Sprocket Digital&reg; and Sprok.ai&trade; (&ldquo;Sprok.ai,&rdquo; &ldquo;we,&rdquo; &ldquo;us,&rdquo; or &ldquo;our&rdquo;). Our principal place of business is Elgin, Texas. Questions may be directed to support@sprok.ai.</p>\n\n<h2>1. Description of Services</h2>\n<p>Sprok.ai provides AI-powered marketing guidance, strategy tools, and educational content designed to help small and mid-sized businesses build structured, effective marketing systems.</p>\n<p>The Platform includes access to the <strong>Sprok AI assistant</strong>, powered by Amplified Intelligence and delivered through a third-party AI infrastructure provider. Sprok is the intelligence that guides you through your marketing build.</p>\n<p>The Platform also provides <strong>the 5-Phase Small Business Digital Marketing Machine&trade;</strong>, together with its implementation guides, marketing assessments, and related content and tools. The 5-Phase Small Business Digital Marketing Machine&trade; is a proprietary marketing framework created, developed, and owned by Sprocket Digital USA LLC, and it &mdash; along with all associated implementation guides, assessments, and materials &mdash; is an original work protected by United States copyright and trademark law. These materials are proprietary to Sprocket Digital USA LLC, are <strong>not third-party products</strong>, and are provided to you under license as set forth in these Terms.</p>\n<p>The Sprok AI assistant is delivered through Telegram, a free third-party messaging application. A standard, free Telegram account is all that is required to use the assistant; no paid Telegram subscription is necessary, and standard message and data rates from your carrier may apply. To use the assistant, you must have or create a Telegram account and accept Telegram&rsquo;s own terms of service and privacy policy, <strong>available at telegram.org/privacy,</strong> over which Sprok.ai has no control. Your conversations with the assistant pass through Telegram&rsquo;s systems, and Sprok.ai is not responsible for the availability, security, or data practices of Telegram. The Services are intended solely for businesses located in the United States. By accessing or using the Services, you represent and warrant that you are located in the United States and are using the Services for a business established in the United States. We do not offer or direct the Services to, or accept customers or payment from, users outside the United States. By using the Services, you represent that you are using the Platform in connection with a lawful business purpose and that you have the authority to bind your organization to these Terms if you are accessing on behalf of a business entity.</p>\n\n<h2>2. Account, Activation, and License</h2>\n<h3>2.1 Account Registration</h3>\n<p>To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, complete, and current information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.</p>\n<h3>2.2 Activation</h3>\n<p>Following purchase, you will receive an activation link at the email address you provided at checkout. You must complete activation in order to access the Sprok AI assistant through Telegram. Access periods and exchange allowances run from the date of purchase. If you do not receive an activation link, contact support@sprok.ai promptly.</p>\n<h3>2.3 License Grant</h3>\n<p>Subject to these Terms and your timely payment of applicable fees, Sprok.ai grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. Except as expressly permitted in Section 2.4, this license does not extend to commercial resale, redistribution, or sublicensing of the Services or any content therein.</p>\n<h3>2.4 Deliverable Documents</h3>\n<p>Certain Services include documents delivered to you for your use, which may include implementation guides, statements of work, and staffing analyses (collectively, &ldquo;Deliverable Documents&rdquo;). Deliverable Documents are provided so that you may execute marketing work for your own business, including by engaging third-party contractors and vendors.</p>\n<p>The Deliverable Documents you download are yours to keep and use permanently, regardless of whether you continue with a paid subscription. Access to the customer portal &mdash; where you may view, re-download, and receive updated versions of your Deliverable Documents, and download a compressed (ZIP) file containing all of your then-current Deliverable Documents &mdash; is provided only for the period of your active subscription, and, for the Sprok Sprint, only during the Sprint access period described in Section 3.3. You may download the ZIP file of your then-current Deliverable Documents at any time before your Sprint access period ends or before your subscription ends. If you cancel a paid subscription, we will also send that ZIP file to the email address on file on the day your cancellation takes effect. After your Sprint access period or your subscription ends, portal access to the Deliverable Documents will end, and we are not obligated to provide it thereafter.</p>\n<h3>2.5 Restrictions</h3>\n<p>You agree not to:</p>\n<ul>\n<li>Reverse engineer, decompile, or attempt to extract the source code or system prompts of any part of the Platform;</li>\n<li>Use the Services to develop a competing product or service;</li>\n<li>Share your account credentials or activation link with third parties, or permit any other person to consume your exchange allowance;</li>\n<li>Use the Services in any manner that violates applicable law or third-party rights;</li>\n<li>Transmit harmful, deceptive, or unlawful content through the Platform;</li>\n<li>Use automated systems to scrape, extract, or harvest data from the Platform without prior written consent.</li>\n</ul>\n\n<h2>3. Fees and Payment</h2>\n<h3>3.1 Pricing</h3>\n<p>Access to certain Services requires payment of fees as described on the Platform at the time of purchase. All fees are stated in U.S. Dollars and are subject to change. Sprok.ai will provide notice of fee changes in advance where required by applicable law.</p>\n<h3>3.2 Payment Processing</h3>\n<p>Payments are processed through Stripe, Inc. By providing payment information, you authorize Stripe to charge the applicable fees to your payment method. Sprok.ai does not store your payment card information. Stripe&rsquo;s terms and privacy policy govern the processing of your payment data.</p>\n<h3>3.3 The Sprok Sprint &mdash; Paid Trial and Continuing the Service</h3>\n<p><strong>PLEASE READ THIS SECTION CAREFULLY. YOUR TRIAL DOES NOT AUTOMATICALLY BECOME A PAID SUBSCRIPTION. NO RECURRING CHARGE IS MADE UNLESS YOU CHOOSE TO CONTINUE AND AUTHORIZE IT.</strong></p>\n<p>When you purchase the Sprok Sprint:</p>\n<ul>\n<li>You are charged a one-time fee of $297.00 USD at the time of purchase.</li>\n<li>You receive immediate access to the Deliverable Documents described in Section 2.4. The documents you download are yours to keep and use, regardless of whether you continue after the Sprint and regardless of any later decision not to continue. Your access to the customer portal, where you may re-download the documents and receive any updates, continues for the period described in Section 2.4.</li>\n<li>You receive access to the Sprok AI assistant for thirty (30) days, or until you have used the Sprint exchange allowance stated at checkout, whichever comes first. Add-on exchange packs are not available during the Sprint.</li>\n</ul>\n<p><strong>YOUR SPRINT DOES NOT AUTOMATICALLY CONVERT INTO A PAID SUBSCRIPTION. AT THE END OF YOUR SPRINT, YOUR ACCESS TO THE SPROK AI ASSISTANT WILL END UNLESS YOU AFFIRMATIVELY CHOOSE TO CONTINUE ON A MONTHLY OR ANNUAL PLAN. WE WILL NOT CHARGE YOUR PAYMENT METHOD FOR ANY SUBSCRIPTION UNLESS AND UNTIL YOU SELECT A PLAN AND EXPRESSLY AUTHORIZE THAT CHARGE.</strong></p>\n<p>If you choose to continue, you may select a monthly or annual plan at the rate stated at checkout. Any plan you select is a subscription governed by Section 3.4, including its automatic-renewal and cancellation terms. If you do not choose to continue, no subscription charge will be made, you will retain the Deliverable Documents, and your access to the AI assistant will end.</p>\n<p>The Sprint fee is not a deposit against, and is not credited toward, any subscription fee. It is consideration for the Deliverable Documents and the Sprint access period.</p>\n<h3>3.4 Subscriptions, Renewals, and Cancellation</h3>\n<p>If you select a monthly or annual subscription plan, it will automatically renew at the end of each billing period unless you cancel prior to the renewal date. You may cancel your subscription at any time through your account portal, where you may choose to cancel access to the AI assistant or to cancel all contact, or by contacting support@sprok.ai. Your cancellation is effective when we receive it and must be received before a period begins to avoid the charge for that period.</p>\n<p>We will confirm your cancellation by email. If you do not receive confirmation within two (2) business days, please contact us again &mdash; an unacknowledged cancellation request should not be assumed to have been processed.</p>\n<h3>3.5 Refunds</h3>\n<p>All sales are final unless otherwise expressly stated at the time of purchase.</p>\n<p>Where a Service fails to perform as described, our remedy is to restore the access or entitlement you paid for rather than to refund the fee.</p>\n<p><strong>Annual Plans.</strong> Annual subscription fees are non-refundable, except as follows: if we become unable to provide the Service and cannot restore comparable access within a reasonable period, we will refund the unused portion of your annual fee &mdash; the part attributable to the whole months of service not yet provided. This is your sole and exclusive remedy for our inability to deliver the Service, and no refund is available for any other reason.</p>\n<h3>3.6 Exchange Allowances</h3>\n<p>Each paid subscription plan and the Sprok Sprint includes a defined exchange allowance as specified at the time of purchase. The following terms govern exchange allowances for all paid Services:</p>\n<ul>\n<li><strong>Exchanges.</strong> Your usage is measured in exchanges. An exchange consists of one message you send to the Sprok AI assistant and one reply you receive from it &mdash; one message out and one message back. Your allowance is stated in exchanges at the time of purchase.</li>\n<li><strong>Monthly Reset; No Rollover.</strong> For monthly subscription plans, your exchange allowance resets automatically on your billing anniversary date each month. Unused exchanges from your monthly allowance do not carry forward to the next billing cycle.</li>\n<li><strong>Sprok Sprint.</strong> The Sprok Sprint provides an exchange allowance for use over the Sprint access period described in Section 3.3, in the amount stated at checkout, which does not carry forward.</li>\n<li><strong>Add-On Exchange Packs.</strong> If you exhaust your allowance, you may purchase additional exchange packs. Add-on exchanges do not expire and carry forward across billing cycles until fully consumed. Your periodic allowance is always drawn down first; add-on exchanges are consumed only after your periodic allocation is exhausted. Add-on exchanges can be used only while your subscription is active, and add-on balances are not refundable if you close your subscription before they are exhausted.</li>\n<li><strong>Promotional Exchange Grants.</strong> Sprok.ai may from time to time credit additional non-expiring exchanges to an account in connection with a promotion, plan selection, or service remedy. Such exchanges are non-transferable, have no cash value, cannot be refunded, and can be used only while your subscription is active. Sprok.ai reserves the right to modify or discontinue any promotional grant at any time.</li>\n<li><strong>No Service Interruption Guarantee.</strong> Sprok.ai does not guarantee uninterrupted access to the AI assistant at any usage volume. Exchange allowances are estimates based on typical usage patterns; actual usage may vary. Sprok.ai is not liable for any business impact resulting from exchange allowance exhaustion.</li>\n</ul>\n\n<h2>4. AI-Powered Features</h2>\n<p>The Sprok AI assistant is powered by a third-party AI infrastructure provider. Sprok provides marketing strategy, guidance, and educational content to help you plan and build your own marketing systems. This guidance is general and informational in nature &mdash; it is meant to inform your decisions, not to replace your own business judgment.</p>\n<p>The outputs generated by Sprok do not constitute legal, financial, tax, accounting, or other <strong>licensed professional</strong> advice, and your use of Sprok does not create any professional, advisory, or fiduciary relationship between you and Sprocket Digital USA LLC. For legal, financial, tax, or similar matters, you should consult a qualified, licensed professional. Sprok does not guarantee any specific marketing outcome, revenue result, or business objective, and results will vary based on your specific business, market, and inputs.</p>\n<p>Sprok.ai does not guarantee any specific marketing outcome, revenue result, or business objective as a result of using the Services. You are responsible for independently evaluating the suitability of any AI-generated guidance before acting on it.</p>\n<p>By using AI-powered features, you acknowledge that:</p>\n<ul>\n<li>AI outputs may occasionally be inaccurate, incomplete, or not suitable for your specific situation.</li>\n<li>AI outputs concerning third-party platforms, services, or systems that Sprok.ai cannot observe may be inaccurate, and should be independently verified with the relevant provider before you act on them;</li>\n<li>Conversation data and inputs submitted through AI features may be processed by our third-party AI infrastructure provider in accordance with that provider&rsquo;s terms;</li>\n<li>You will exercise independent judgment before implementing any AI-generated recommendations.</li>\n</ul>\n\n<h2>5. Intellectual Property</h2>\n<h3>5.1 Platform Content</h3>\n<p>All content on the Platform, including The 5-Phase Small Business Digital Marketing Machine&trade; framework, implementation guides, templates, tools, AI systems, and related materials, is owned by or licensed to Sprocket Digital USA LLC and is protected by applicable intellectual property laws. SPROCKET DIGITAL&reg; is a registered trademark of Sprocket Digital USA LLC (U.S. Reg. No. 7,456,931). Except as expressly permitted in Section 2.4, no content may be reproduced, distributed, or used outside the scope of your license without prior written consent.</p>\n<h3>5.2 User Content</h3>\n<p>You retain ownership of content, data, and materials you submit to the Platform (&ldquo;User Content&rdquo;). By submitting User Content, you grant Sprok.ai a limited, non-exclusive license to use, process, and store your User Content solely to the extent necessary to provide the Services. We do not sell your User Content to third parties.</p>\n<h3>5.3 Feedback</h3>\n<p>If you submit feedback, suggestions, or ideas regarding the Services, you grant Sprok.ai a royalty-free, perpetual license to use such feedback for any purpose without obligation to you.</p>\n\n<h2>6. Confidentiality and Privacy</h2>\n<p>Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available at <a href="https://hello.sprok.ai/start/privacy/" target="_blank" rel="noopener noreferrer">https://hello.sprok.ai/start/privacy/</a>. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.</p>\n\n<h2>7. Disclaimers</h2>\n<p>THE SERVICES ARE PROVIDED &ldquo;AS IS&rdquo; AND &ldquo;AS AVAILABLE&rdquo; WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SPROK.AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. DIGITAL MARKETING RESULTS DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL, AND NO SPECIFIC OUTCOME IS GUARANTEED.</p>\n\n<h2>8. Limitation of Liability</h2>\n<p>TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPROCKET DIGITAL USA LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.</p>\n<p>OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE LESSER OF: (A) FIVE HUNDRED DOLLARS ($500); OR (B) THE TOTAL FEES PAID BY YOU TO SPROK.AI DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.</p>\n\n<h2>9. INDEMNIFICATION</h2>\n<p>YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS SPROCKET DIGITAL USA LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS FROM AND AGAINST ANY CLAIMS, DAMAGES, LOSSES, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS&rsquo; FEES) ARISING OUT OF OR RELATED TO: (A) YOUR USE OF THE SERVICES; (B) YOUR USER CONTENT; (C) YOUR VIOLATION OF THESE TERMS; OR (D) YOUR VIOLATION OF ANY APPLICABLE LAW OR THIRD-PARTY RIGHT.</p>\n\n<h2>10. Term and Termination</h2>\n<p>These Terms are effective from the date you purchased the Services and remain in effect until terminated. Sprok.ai may suspend or terminate your access to the Services at any time, with or without cause, upon notice to you. You may terminate your account at any time by contacting support@sprok.ai.</p>\n<p>Upon termination: (a) your license to use the Services will immediately cease, except that your license to retain and use Deliverable Documents under Section 2.4 survives; (b) all fees owed through the termination date become immediately due; and (c) provisions that by their nature survive termination shall survive, including Sections 2.4, 5, 8, 9, and 12.</p>\n\n<h2>11. Governing Law and Dispute Resolution</h2>\n<p>These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Services shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in Bastrop County, Texas, before a single arbitrator, administered under the Commercial Arbitration Rules of the American Arbitration Association. Venue for any action shall be in Bastrop County, Texas.</p>\n<p>YOU AND SPROK.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.</p>\n\n<h2>12. General Provisions</h2>\n<p><strong>Not assignable by the user. User may not assign this contract or any rights to without the written consent of Sprocket Digital USA.</strong></p>\n<h3>12.1 Entire Agreement</h3>\n<p>These Terms, together with the Privacy Policy and any applicable SOW or purchase order, constitute the entire agreement between you and Sprok.ai with respect to the Services and supersede all prior understandings. Where you have also executed a Master Services Agreement with Sprocket Digital USA LLC for professional services engagements, that MSA governs the professional services relationship; these Terms govern platform access and are not superseded by the MSA.</p>\n<h3>12.2 Amendment</h3>\n<p>We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the effective date. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.</p>\n<h3>12.3 Severability</h3>\n<p>If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.</p>\n<h3>12.4 Waiver</h3>\n<p>Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.</p>\n<h3>12.5 Non-Disparagement</h3>\n<p>You agree not to make, publish, or communicate any false or materially misleading statement of fact regarding Sprok.ai, Sprocket Digital USA LLC, or their products, services, officers, or employees. Nothing in this Section restricts you from making truthful statements, expressing your genuine opinion regarding the Services, submitting a good-faith review, reporting a suspected violation of law to a governmental authority, or making any statement or disclosure protected by applicable law.
